Legal Counsel

**The Role**:
Legal Counsel role is key role in Shell Egypt N.V. (“Shell”) with responsibility for providing legal advice to various departments including but not limited to Commercial Departments and Technical Departments.

Reporting to the Managing Counsel & Head of Legal for Shell Egypt, the legal counsel should possess reliable background in Oil & Gas and should be familiar with a wide range of upstream agreements including concession, joint operating, sale and purchase, transportation, and processing agreements as well as hydrocarbon sales.

Key Responsibilities:

- Drafting and negotiating E&P contracts (i.e.: PSC, Concession Contracts), contracts with partners (i.e.: Joint Operating Agreements), farm-in, farm-outs and related agreements
- Providing legal due diligence processes related to Business Development opportunities
- Coordinating with external lawyers and with lawyers within several departments in Shell Legal when their advice or involvement is required
- Doing Legal support and advice on evaluation, acquisition, purchase and divestment of assets, negotiation of required documentation and contracts and design of transaction structure
- Giving Legal advice on execution and interpretation of the full range contracts typically used in the upstream E&P business
- Providing Legal support for negotiations with partners, governmental entities, and stakeholders
- Evaluating legal risks related to projects, assessing their severity, and proposing mitigation actions
- Supporting various functions by providing legal standards and model contracts covering major upstream contracts as well as legal advice on contracts and related matters including general legal and regulatory.
- Providing high standard legal services / E&C advice relating to a variety of legal fields (or level of single specialty) to a defined area of Company / Business.
- Handling legal complexity in portfolio
- Contacting clients at the operational level, primarily middle management. Has regular external interfaces (e.g.: as a delegate or with third parties). The job holder will likely be addressing senior business leadership teams and providing advice directly to members of those LTs.
- Making professional judgement as to when to refer decisions / issues to manager. Consulting and keeping manager informed at significant checkpoints. Has some professional autonomy but will seek input from manager/other senior lawyers on any complex or unusual legal issues.
