Assist in the provision of legal and contracts advice in coordination with external lawyers and legal advisors as and when needed to YHL.
- Prepare memorandum and articles of associations, board resolutions and shareholders resolution.
- Prepare legal contracts and agreements in both Arabic and English including but not limited NDA’s, joint ventures, project agreements, credit agreements, teaming agreements, MOU’s, bonds, labour contracts, lease contracts, distribution Ship agreements, Franchise agreements, real estate contracts, sale & purchase agreements, licensing agreements, supply agreements etc., when required, in coordination with the key personnel involved.
- Assist in overseeing compliance of YHL activities with the relevant applicable statutes, laws and financial rules & regulations.
- Participate in managing legal issues and matters including establishment, acquisitions, mergers etc.
- Assist Legal Advisor in all the activities (in coordination with Manager
- Legal & Contracts) related to negotiating and closing of deals.
- Maintain and keep a record of relationships with law firms which in turn will provide legal and contracts support/advise to YHL and its subsidiaries and external clients.
- Assist in the preparation, representation and dissemination of legal contract related information regarding YHL and its subsidiaries and external client.
- Review and cross-check of all legal documents including contracts, terms and conditions, and provide necessary advice/amendments to the management.
- Follow up and update (in coordination with Legal Advisor / Associates) contracts with the end users and suppliers.
- Participate in proving legal counsel to the management to safeguard against any illegal decision.
- Assist in consolidation of and processing of all legal contracts related documents for YHL and subsidiaries and external clients.
- Assist Legal Advisor in settling all disputes, litigations etc. in coordination with external lawyers and legal advisors as and when needed to YHL and subsidiaries or external clients.
- Assist Legal Advisor in conducting research and analysis of the implications of case law, laws and regulatory matters that affect YHL and subsidiaries or external clients.
- Prepare Legal & Contracts Department’s policy & procedures and forward to Managing Partner to review and approve.
- Perform any other tasks as delegated by the Legal management.

**Requirements**:

- Proven experience as a Legal Counsel in business environment
- Excellent knowledge and understanding of corporate law and procedures
- Full comprehension of the influences of the external environment of a corporation
- Demonstrated ability to create legal defensive or proactive strategies
- High degree of professional ethics and integrity
- Sound judgement and ability to analyse situations and information
- Outstanding communication skills
- BSc degree in Law or J.D. degree
- MA or BSc in Business Administration will be considered an advantage;
