Legal & Integrity and Compliance Manager - Meta

This position is based in **Cairo, Egypt** and will report to the Legal & Integrity and Compliance Director, Middle East, Turkey & Africa (META) based in Dubai, UAE.

**Your Responsibilities will be**:

- Support and advise in the day-to-day business operations in the META region including proactive legal advice in all areas of law and regulation, with prioritization on goals and objectives.
- Draft, review and advise on commercial agreements including without limitation distribution agreements, contract manufacturing agreements, technology transfer and licensing agreements, confidentiality agreements, purchasing, supply and service contracts, development and improvement of relevant templates or standards.
- Influence others outside of own job area regarding policies, practices and procedures.
- Research, analyze, and interpret proposed and existing laws, statutes, and regulations.
- Identify, monitor and address issues of legal risk.
- Provision of related training to the business functions and manage related dispute resolution.
- Represent/advocate for Acino in litigation, arbitration, mediation or other disputes with courts, government agencies, or other legal authorities.
- Train employees on applicable compliance Policies and SOPs as applicable to their roles, archiving and tracking auditable training records.
- Assure Third Party Intermediary Compliance (Due diligence, annual certification, audits, etc.) with adequate compliance controls in place as well as advise HQ compliance on law and industry requirements in META.
- Advise on all Compliance related matters and create/maintain a Compliance and Integrity mindset within the organization. Manage local Compliance Committee and address incidents of non-compliant behavior.
- Pro-actively monitor compliance of the META organization with the compliance program (including assistance with audits) as well as manage and mitigate compliance risks
- Conduct investigations of compliance incidents and address incidents of non-compliant behavior in cooperation with local management and HQ compliance function.
- Coordinate with HR / other relevant functions on necessary disciplinary and other corrective actions.
- Work to the highest levels of integrity and compliance, adhering to Acino Standards of Business Conduct and Ethics at all times.

**Your Profile**:

- Bachelor's degree in law from a reputable University (additional qualifications as a compliance professional is a plus).
- Solid experience working in the region for an international or reputable local business in the healthcare industry.
- At least 8 years of relevant experience either as an in-house counsel or with a reputable law firm advising on manufacturing and supply contracts.
- Strong knowledge of corporate and contract law as well as broad and in-depth understanding of local and regional issues relative to the pharmaceutical industry or a similar industry is a plus.
- Highly motivated, hard-working and possess a strong sense of responsibility and integrity. Ability to function well under pressure and with a high workload in a fast-paced environment.
- Ability to “flex” across different types of cultures, complexities, business situations and matrix partners.
- Strong negotiation, communication, teamwork, and project management skills.
- Solution and business-oriented working-style and a high service attitude.
- Excellent written and spoken English and Arabic, including solid English language legal drafting skills.
