**1. KEY ACCOUNTABILITIES**

**Description**

**Follow all relevant approved Legal Division’s manual/SLAs and any other bank’s manuals and monitor adherence so that work is carried out in a controlled manner.**

**Follow the day-to-day Legal work related to Business Legal Department to ensure continuity of work.**

**Comply with all relevant CBE regulations, banking laws, AML regulations and internal EG Bank policies and code of conduct to maintain EG Bank’s sound legal position and mitigate any potential risks**

**Providing legal advice related to Business Legal Department in regard to any on hand/presented legal documents such as commercial registers, account opening documents and forms, checks/PNs, contracts, assignments, collaterals, board of directors meetings, letters of guarantee etc..**

**Follow-up on the changes in legislation and regulations/bylaws related directly or indirectly to the bank activities within one week of its publication in the official Gazette, in addition to prepare a briefing memo concerning the aforementioned legislation/bylaw to be sent to the direct manager who is assigned by the Head of Business Advising Head for approval /feedback.**

**Reviews/Drafts the complex legal cases related to Business Legal Department ;and work upon resolving them; and do essential legal paperwork, including but not limited to syndications, large corporate facility documents, settlement; and rescheduling agreements.**

**Preparing, drafting and reviewing all type of forms/contracts related to Business Legal Department including but not limited to (e.g. credit facilities, financing and syndicated loans contracts and their appendices, all their documents and guarantees -transfer of rights - TDs/CDs/Account pledge, outsourcing contracts/documents stock purchase/selling agreements, confidentiality agreements, term sheets; and commitment letters.etc.).**

**Reviewing all type of credit facilities contracts, transfer of right and insurance policy documents from a legal point of view, in accordance with the credit approvals, as well as issuing a memorandum on the adequacy of the facilities documents from a legal point of view.**

**Dealing with the bank's subsidiaries in relation to the legal review of the resolutions of their General Assemblies, Board of Directors Meetings and Articles of Association along with any related legal documents and providing any needed legal advice and drafting any type of contracts.**

**Obtaining direct manager’s approval (who is assigned by the Business Advising Legal Head) prior sending any legal advice; and/or contract/document’s draft.**

**All other tasks as assigned by direct manager, in accordance with the Business Advising Head’s instructions.**

**2. QUALIFICATIONS, EXPERIENCE AND SKILLS**

**Qualifications and Experience**:

- Bachelor’s degree of Law.
- Master’s degree of law will be considered an asset.
- 7 years of experience in Legal Banking Field, Preferred exposure in Business Legal.

- Excellent command of English and Arabic languages (written and spoken)
