**Job Description Summary**: Role Summary

An opportunity has arisen to join GE Grid Solutions. The successful applicant will be a member of the GE Grid Solutions Legal Team and will report to the Head of Legal of the MEA Region. This position will be based in Cairo, Egypt (partial home office is available as per the GE policy). The role will be broad supporting the GE Grid Solutions business in different commercial areas in the MEA region, with the focus on Egypt, Libya, Saudi Arabia, Bahrain, Qatar, Kuwait, Jordan, Iraq, and Oman.

**Essential Responsibilities**
- Supporting the regional Sales, Commercial Operations, Sourcing, Contract Management and Project Management teams of all the GE Grid Solutions business lines in:

- Tendering phase, from contractual scheme definition to drafting, negotiation and signing of contracts - with customers (private contractors and governments), suppliers, subcontractors and partners - with advisory of a wide variety of legal and regulatory issues in local laws and active participation in deal reviews maintaining independence in counsel while supporting the business lines in meeting their commercial, operational and strategic objectives and assessing and mitigating the risks.
- Execution phase, supporting the execution of high value complex projects in MEA spanning from EPC/Turnkey to Design & Engineering, LTSA, O&M, for brownfield and greenfield projects notably mega-projects, including renegotiations and amendments and variation orders to existing contracts in collaboration with Contract Management, Project Management and Sourcing teams, managing claims, assisting with contract interpretation, flagging risks as they appear or grow, with a view to mitigating risk of expensive litigation.
- Managing disputes in the MEA region with the support of the GE Grid Solutions Litigation Counsel, including engaging and supervising outside counsels.
- Supporting the regional JV portfolio for the existing JVs (incl. legal support on day to day commercial and project activity, drafting legal documentation relating to shareholders’ and board of directors' meetings) or for the creation of new JVs which includes drafting and negotiating MOU, JV agreements, shareholders agreements, licence/technology transfer agreements, and managing the relationship with the local authorities/regulators.
- Assisting in investigating compliance issues in MEA with discretion and maturity, liaising with Compliance team, helping to build on open reporting environment and promote a strong culture of compliance.
- Collaborating with functional experts (Compliance, IP, EHS, Labour & Employment, Litigation) to develop best practice and strategic advice.
- Providing training sessions on commercial and legal topics.
- Maintaining comprehensive knowledge of relevant industries in order to contribute to the commercial objectives of the business from a legal standpoint.
- Participating in the creation of regional or global GE Grid Solutions legal forms, templates, training materials, tools and best practices as needed.
- Working under mínimal supervision; handling all kinds of legal assignments; working in partnership with the Head of Legal of MEA.

The role involves some travels within the MEA Region (less than 15%).

**Role Purpose**

**Qualifications/Requirements**
- LL. B, master's in law, JD or equivalent from an accredited law school.
- Member in good standing with the local bar.
- 8 to 10 years of legal experience in relevant commercial transactions area and general corporate law based on experience at a large law firm and/or as in-house counsel with an international scope exposure.
- Broad knowledge of commercial law and legal practice in MEA especially high value contracts and complex projects (ideally but not exclusively energy, construction and infrastructure).
- Transactional experience in domestic and international contract drafting and negotiation.
- Claims negotiation and disputes resolution experience (including litigation, arbitration and mediation).
- Personal integrity, trustworthiness, strength of character, ability to influence decisions and leadership.
- Ability to deal with ambiguity, different or unexpected circumstances, embrace rapid change.
- Flexibility to resolve complex legal issues quickly and efficiently with a strong sense of prioritization, ability to cope with pressure and multiple deadlines simultaneously.
- Strong business acumen with a focus on problem-solving and pragmatism.
