Legal Counsel – (SME)

The Legal Counsel provides in-house legal support across the organization, ensuring the company operates within the law while minimizing legal risks. This role handles contracts, compliance, corporate matters, dispute management, and provides proactive legal advice to management and departments.

Key Responsibilities

1. Contracts & Commercial Support

• Draft, review, and negotiate a wide range of contracts (supplier agreements, customer contracts, NDAs, service agreements, employment contracts, etc.)
• Ensure all contracts align with company policies and protect the company's interests.
• Maintain a contract database and ensure timely renewals and terminations.

2. Corporate & Regulatory Compliance

• Ensure compliance with local laws, industry regulations, and corporate governance requirements.
• Support company registrations, licensing, renewals, trademark and IP matters.
• Develop and update internal policies (data protection, whistleblowing, ethics, code of conduct, etc.).

3. Legal Advisory

• Provide legal opinions to management and departments on risks, obligations, and legal consequences.
• Advise on employment matters, commercial disputes, procurement, sales, and partnerships.
• Monitor changes in laws and regulations and advise on required actions.

4. Dispute Resolution & Litigation Management

• Handle pre-litigation matters, respond to legal notices, and manage dispute resolution.
• Coordinate with external law firms when needed and supervise ongoing litigation.
• Prepare documentation and act as the internal focal point for any legal cases.

5. Risk Management

• Identify potential legal risks and propose mitigation measures.
• Conduct internal compliance checks and support audits.
• Review insurance policies and ensure adequate coverage for operations.

6. Cross-Functional Collaboration

• Support HR with disciplinary actions, contract terms, and labor law compliance.
• Support Finance and Procurement with contractual, payment, and regulatory matters.
• Support Sales with customer agreements, credit terms, and commercial risks.

Qualifications

• Bachelor's degree in Law (LLB); Master's degree or relevant certification is a plus.
• Admitted to the Bar / licensed to practice.
• 3–7 years of experience, preferably with exposure to commercial and corporate law within an SME or similar environment.
• Strong contract drafting and negotiation skills.
• Excellent communication skills and strong ethical judgment.
• Ability to work independently with minimal supervision and handle multiple priorities.

المستشار القانوني (شركة صغيرة/متوسطة)

يقوم المستشار القانوني بتقديم الدعم القانوني الداخلي للشركة، وضمان التزام العمليات بالقوانين واللوائح المعمول بها، مع تقليل المخاطر القانونية. يشمل الدور مراجعة وصياغة العقود، وإدارة الامتثال، ودعم القضايا القانونية، وتقديم المشورة للإدارة وجميع الإدارات.

المسؤوليات الرئيسية
1. العقود والدعم التجاري

• صياغة ومراجعة والتفاوض على مختلف العقود (عقود الموردين، عقود العملاء، اتفاقيات عدم الإفصاح، عقود الخدمات، عقود العمل، وغيرها).
• ضمان توافق العقود مع سياسات الشركة وحماية مصالحها.
• إدارة سجلات العقود وضمان تجديدها أو إنهائها في الوقت المناسب.

2. الحوكمة والامتثال القانوني

• ضمان امتثال الشركة للقوانين المحلية واللوائح التنظيمية ومتطلبات الحوكمة.
• دعم إجراءات التسجيلات والتراخيص والتجديدات وحقوق الملكية الفكرية والعلامات التجارية.
• تطوير وتحديث السياسات الداخلية (حماية البيانات، السلوك الوظيفي، سياسات النزاهة، وغيرها).

3. تقديم المشورة القانونية

• تقديم استشارات وآراء قانونية للإدارة والإدارات المختلفة حول المخاطر والالتزامات والعواقب القانونية.
• تقديم الدعم القانوني في شؤون العمل، والمشتريات، والمبيعات، والشؤون التجارية، والشراكات.
• متابعة التعديلات القانونية والتنظيمية وإخطار الإدارة بالإجراءات المطلوبة.

4. إدارة المنازعات والتقاضي

• التعامل مع ما قبل المنازعات والرد على الإخطارات القانونية.
• التنسيق مع مكاتب المحاماة الخارجية ومتابعة القضايا عند الحاجة.
• إعداد وتجهيز المستندات اللازمة وتمثيل الشركة داخليًا فيما يتعلق بالقضايا.

5. إدارة المخاطر

• تحديد المخاطر القانونية المحتملة واقتراح خطط للتخفيف منها.
• دعم عمليات التدقيق والمراجعة الداخلية المتعلقة بالامتثال.
• مراجعة وثائق التأمين والتأكد من كفاية التغطية لمختلف عمليات الشركة.

6. التعاون مع الإدارات المختلفة

• دعم إدارة الموارد البشرية في الإجراءات التأديبية، والعقود، والامتثال لقانون العمل.
• دعم المالية والمشتريات في الجوانب التعاقدية والتنظيمية.
• دعم قسم المبيعات في عقود العملاء، وشروط الائتمان، والمخاطر التجارية.

المؤهلات المطلوبة

• بكالوريوس في القانون؛ ويفضل وجود درجة ماجستير أو شهادة مهنية متقدمة.
• حاصل على رخصة مزاولة مهنة المحاماة.
• خبرة من 3 إلى 7 سنوات، ويفضل خبرة في الشركات الصغيرة أو المتوسطة أو في المجال التجاري.
• مهارات قوية في صياغة ومراجعة العقود والتفاوض.
• مهارات اتصال ممتازة وقدرة على اتخاذ قرارات سليمة.
• القدرة على العمل باستقلالية والتعامل مع مهام متعددة.
